Financing & Lease Terms

Important: This document is provided as a starting point. We recommend that any client (and Frost Web Studio itself) have a licensed attorney review the final agreement before signing. The signed Statement of Work or Master Services Agreement is the legally binding document.
1. Overview
Frost Web Studio ("we", "us", "Frost") offers an optional in-house financing program that allows clients ("you", "Customer") to pay for design and development services in monthly installments rather than as a single upfront payment. This document outlines the terms governing that program. By accepting a financing offer in writing, both parties agree to be bound by these terms.
2. Structure of the Plan
Each financing plan consists of:
- A non-refundable setup fee paid before work begins. This covers initial discovery, design, and reservation of build resources.
- Recurring monthly payments charged automatically to the payment method on file, for a fixed term (typically 12 months).
- Bundled hosting on Frost-managed infrastructure for the duration of the payment term, included at no additional cost.
The full schedule of payments — setup fee, monthly amount, term length, and total amount — is documented in the signed Statement of Work for each project.
3. Hosting & Site Lease
For the duration of the active financing term, the website and all associated source code are leased to the Customer and hosted on Frost Web Studio's managed infrastructure. During this period:
- The Customer has full operational use of the website — content updates, lead capture, sales, analytics, and all customer-facing functionality.
- The Customer's domain name remains 100% owned and controlled by the Customer at all times. Frost does not register, hold, or control client domains.
- The website's source code, design files, and assets remain the property of Frost Web Studio and may not be migrated to alternate hosting until full payment is received.
- The Customer may request reasonable content updates and minor edits in line with their selected Care plan or financing tier.
4. Transfer of Ownership
Upon receipt of the final scheduled payment, full ownership of the website's source code, design assets, and migration files is transferred to the Customer. At that point:
- The Customer may continue hosting the site with Frost Web Studio (most clients do, often via a Care plan) or migrate it to any provider they choose.
- Frost will provide a complete export package — code, database, media, and documentation — within 14 business days of the final payment clearing.
- No further fees, royalties, or licensing apply to the delivered work.
5. Failed Payments & Suspension
If a scheduled monthly payment fails:
- Days 1–14: Frost will automatically retry the payment and notify the Customer by email. The site remains fully operational. The Customer is responsible for updating their payment method.
- Days 15–30: A second notice is sent. The site remains operational but a billing reminder may be displayed on the admin panel.
- Day 30+: If payment has not been resolved, the website will be temporarily suspended and replaced with a polite "site temporarily unavailable" notice until the account is brought current.
- Day 60+: Frost reserves the right to permanently cancel the financing agreement. In this case, all setup fees and prior monthly payments are non-refundable, and the website may be permanently taken down.
We will always make a personal good-faith effort to reach the Customer before suspension or cancellation occurs.
6. Early Payoff
The Customer may pay off the remaining balance of their financing plan at any time. Upon receipt of the final balance, full ownership of the website is transferred immediately as described in Section 4. There are no early-payoff penalties.
7. Cancellation by the Customer
The Customer may cancel an active financing plan at any time with thirty (30) days' written notice. At the end of the notice period:
- Recurring monthly payments will stop.
- The website will be removed from Frost's hosting infrastructure.
- Setup fees and previously made monthly payments are non-refundable.
- The Customer's domain remains theirs and is unaffected.
8. Refunds
Setup fees are non-refundable once work has begun. Monthly payments are non-refundable once the corresponding service period has been delivered. If Frost is unable to deliver an agreed-upon project or feature, a fair partial refund will be negotiated in good faith.
9. Customer Data & Privacy
All customer data collected through the financed website (leads, signups, sales, analytics) belongs solely to the Customer and is provided in full upon request, regardless of payment status. Frost Web Studio does not sell, share, or use customer data for any purpose other than operating the website. Our full privacy practices are described in the Privacy Policy.
10. Changes to These Terms
We may update these terms from time to time. Any changes will only apply to financing plans signed after the change date — existing active plans remain governed by the version in effect at the time of signing.
